Terms of Service
Effective Date: August 9, 2026
Welcome to Otterkey. Otterkey is a local-first tool for managing account information, subscription information, and two-factor authentication (2FA) entries.
These Terms of Service (the “Terms”) constitute an agreement between you and the operator of Otterkey (“we,” “us,” or “our”) regarding your download of, access to, and use of the Otterkey application (“Otterkey” or the “App”). Please read these Terms and the Otterkey Privacy Policy carefully before using the App.
1. Acceptance of These Terms
By downloading, installing, accessing, or using Otterkey, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use the App and delete Otterkey from your device.
If you use the App on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “you” also refers to that entity.
2. Eligibility
You must have the legal capacity to enter into these Terms under applicable law. If you have not reached the age at which you may independently enter into a contract in your country or region, you may use the App only with the consent and supervision of a parent or legal guardian, who will assume the corresponding responsibility.
Otterkey is not designed for the Kids category of the App Store and must not be used to circumvent parental supervision, school policies, employer controls, or applicable law.
3. Description of the Service
Otterkey may currently provide the following features:
- Creating, editing, categorizing, linking, searching, sorting, deleting, and restoring account information;
- Recording and summarizing subscription amounts, currencies, billing cycles, renewal dates, trial periods, and payment methods for third-party services;
- Setting local subscription reminders;
- Storing 2FA secrets and generating one-time passcodes locally on the device;
- Customizing categories, payment methods, login methods, service logos, and profile images;
- Using an automatically saved local encrypted vault and encrypted local backups that you manually create or update;
- Importing supported third-party data formats or exporting files compatible with third-party services;
- Synchronizing client-side encrypted vault snapshots through iCloud when you choose to enable this feature;
- Retrieving icons, app identity information, or exchange-rate data from Apple, Brandfetch, and exchange-rate services; and
- Displaying and selling Otterkey Pro monthly and annual auto-renewable plans through the Apple App Store, including eligible trials, purchase restoration, subscription management, renewal status, and expiration status.
Specific features depend on the version of the App you use, your device and operating system, your region, and the availability of Apple and third-party services.
4. What Otterkey Does Not Provide
Otterkey is an information-management tool. It is not:
- The provider of any third-party website, app, membership, or subscription service;
- A bank, payment institution, financial adviser, accounting service, or investment service;
- A password-recovery service, digital identity provider, or account custodian;
- A telecommunications carrier, email provider, or cloud-storage provider; or
- Your agent for purchasing, renewing, canceling, obtaining refunds for, or receiving customer support for third-party services.
Recording a third-party subscription in Otterkey does not create, renew, suspend, or cancel that subscription. You remain responsible for confirming actual orders, charges, taxes, renewal status, and cancellation results directly with the relevant service provider.
5. Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license for personal use of Otterkey on Apple-branded devices that you own or control, in accordance with the Apple App Store usage rules and these Terms.
Except as expressly permitted by applicable law or by the licenses governing open-source components, you may not:
- Copy, rent, sell, transfer, distribute, sublicense, or otherwise commercially make the App available;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App;
- Modify the App, create derivative works, or remove proprietary notices;
- Circumvent, defeat, or interfere with security controls, purchase verification, feature restrictions, or access controls; or
- Use automated means to conduct unauthorized bulk access, scraping, or stress testing of the App or related services.
All rights not expressly granted to you under these Terms are reserved by us or the relevant rights holders.
6. Your Data and Content
You retain the applicable rights in account information, passwords, 2FA secrets, subscription records, notes, images, and other content that you enter, scan, select, import, or generate (“User Content”). You are responsible for the legality, accuracy, and security of your User Content.
You authorize Otterkey to process User Content on your device to the extent necessary to provide the App’s features and, when you enable iCloud synchronization, backup, import, export, or sharing, to encrypt, store, convert, transmit, or generate files containing User Content in accordance with your actions. This authorization is limited to providing and maintaining the applicable features and ends when these Terms terminate, except for processing that continues as required by law or because of external copies that you retain.
You represent and warrant that:
- You have the right to store and process the relevant User Content;
- You will not use Otterkey to store credentials or information obtained through theft, fraud, unauthorized access, or other unlawful means; and
- Your User Content and use of the App will not infringe another person’s privacy, intellectual property rights, trade secrets, or other legal rights.
7. Credential and Device Security
Account passwords, 2FA secrets, recovery codes, Keychain-protected backup keys, and unencrypted export files are highly sensitive. You should:
- Protect your device with a strong passcode and enable Face ID or Touch ID when available;
- Safeguard recovery codes and alternative sign-in methods provided by third-party services;
- Use Otterkey only on devices that you trust and are authorized to control;
- Properly back up and erase sensitive information before a device is lost, sold, transferred, repaired, or placed under another person’s management;
- Handle notification previews, screenshots, screen recordings, exported files, and sharing destinations with care; and
- Avoid storing sensitive credentials in jailbroken, compromised, or otherwise untrusted environments.
Although Otterkey uses measures such as encryption, Keychain, app sandboxing, and device authentication, no method of storage or transmission is absolutely secure. You should decide whether to store particular sensitive information in the App based on your own risk assessment.
8. Special Terms for 2FA Features
Otterkey generates one-time passcodes locally on your device based on secrets and settings that you enter, scan, or import. Whether a passcode is accepted by a third-party service depends on the accuracy of the secret, your device time, the algorithm, the number of digits, the time period or counter settings, and the compatibility and status of the third-party service.
You must not use Otterkey as the sole recovery method for important accounts. You should retain recovery codes, backup authentication methods, or other independent recovery options provided by the relevant third-party service. 2FA passcodes may stop working because of an incorrect secret, inaccurate device time, data corruption, device loss, changes to Keychain or iCloud status, or changes to a third-party service’s rules.
Otterkey does not verify your identity on behalf of any third-party service and does not guarantee that third-party services will always accept passcodes generated by the App.
9. Subscription Records, Reminders, and Exchange Rates
Subscription amounts, billing dates, renewal status, and payment methods recorded in Otterkey are primarily entered or imported by you or calculated locally and are provided only for personal information management. Except for App Store purchases of Otterkey Pro itself, the App does not collect payment on behalf of third-party merchants or retrieve your actual orders.
Local reminders may be delayed or may not appear because of notification permissions, Focus modes, Low Power Mode, system scheduling, device shutdown, time-zone changes, date settings, or App or system updates. You should not rely solely on Otterkey reminders to cancel a service, avoid a charge, or meet a deadline that has legal or financial consequences.
Exchange rates are obtained from public third-party services and may be delayed, unavailable, rounded, or different from the rates used by banks, card networks, or actual settlements. Exchange rates and statistical results are provided for reference only and do not constitute financial, tax, accounting, or investment advice.
10. iCloud, Backups, Import, and Export
10.1 iCloud Synchronization
iCloud synchronization depends on your Apple Account, CloudKit, iCloud Keychain, network connection, device operating-system version, storage quota, and the status of Apple services. After you enable synchronization, Otterkey uploads client-side encrypted vault snapshots, including your selected profile image, and relies on keys stored in synchronizable iCloud Keychain for recovery.
We do not guarantee that iCloud synchronization will remain available on every device, in every region, or at all times, or that conflicts, network errors, Apple service failures, or unavailable keys can always be resolved automatically. Turning off iCloud synchronization does not automatically delete encrypted snapshots that have already been uploaded.
10.2 Backup and Restoration
Otterkey provides an encrypted local backup that you create or update manually through the in-app backup action. The backup includes your selected profile image and other vault data present when you perform the backup action. The App does not automatically refresh that backup after every change. You are responsible for performing the backup action as often as appropriate for your needs and for checking the date and contents of the most recent backup.
The local backup is encrypted with an App-generated key stored in the iOS Keychain and does not require you to set a backup password. Restoration depends on the backup data, the App's sandbox, and the corresponding Keychain key. Clearing App or Keychain data, uninstalling the App, resetting the device, or moving to another device may make the backup unavailable or impossible to restore.
Restoring a backup may replace current data. Retain any necessary copies and review the risk notice before confirming the operation.
10.3 Import and Export
Third-party file formats may vary by version or contain missing fields, duplicate records, or incompatible content. You are responsible for reviewing imported results.
The current export function creates a plaintext Universal CSV migration file from the current vault; it does not export the encrypted local backup. The file may contain passwords, email addresses, phone numbers, subscription information, notes, and 2FA secrets. Once a file leaves Otterkey, its security depends on the storage location, recipient, receiving app, and third-party service that you choose. Otterkey cannot recall or delete copies that have already been saved to an external location.
For backward compatibility, Otterkey may accept a legacy password-protected .otterkeybackup file that you voluntarily select. In that case, the App may require the password originally used for that legacy file. The current version does not create new password-protected portable backups.
11. Otterkey Pro and In-App Purchases
Otterkey currently offers Otterkey Pro monthly and annual auto-renewable subscription plans through the Apple App Store and may offer free trials to eligible users. Apple displays the purchase confirmation interface, processes transactions, charges, taxes, refunds, and subscription management. Otterkey uses RevenueCat to retrieve product configuration and determine current subscription entitlement status. Available products, benefits, durations, prices, currencies, taxes, trial eligibility, and offer eligibility are governed by Apple's applicable configuration and purchase interface.
11.1 Current Display and When a Purchase Takes Effect
The Otterkey Pro screen may display annual or monthly plans, free trials, auto-renewal, non-renewal at expiration, purchase restoration, subscription management, or related status and entry points. Merely displaying a screen, plan, price, renewal date, or status does not mean that you have obtained paid benefits and does not constitute a completed purchase.
A purchase takes effect only after all of the following conditions are satisfied:
- You confirm the transaction through the system purchase confirmation interface provided by Apple;
- Apple successfully processes the transaction; and
- Otterkey receives the applicable active entitlement status through RevenueCat.
If information displayed in the App, cached entitlement information, or information returned by RevenueCat differs from Apple's purchase confirmation interface or subscription record, Apple's interface and records control the price, trial duration, renewal period, and charge information. A temporarily unavailable purchase flow does not itself result in a charge or paid entitlement.
11.2 Auto-Renewal and Cancellation
An auto-renewable plan renews for the period and at the price displayed by Apple in the purchase confirmation interface until you cancel it. Apple will generally charge your Apple Account for the next subscription period before the current period ends. The specific charge timing, price-change notice, and renewal rules are governed by Apple’s terms and the applicable purchase interface.
You can view, change, or cancel an auto-renewable subscription through the subscription management page for your Apple Account. Deleting Otterkey, disabling a feature, turning off iCloud synchronization, or deleting data from the App does not automatically cancel an Otterkey Pro subscription.
To avoid a charge for the next subscription period, you must cancel before the deadline specified by Apple. Cancellation generally prevents the next renewal rather than ending access immediately. Unless Apple or applicable law provides otherwise, you can continue using paid benefits until the end of the current paid period, and Otterkey will update access when RevenueCat reports that the applicable entitlement is no longer active.
11.3 Free Trials and Offers
Free trials and promotional offers are available only to users who satisfy Apple’s eligibility rules. The trial duration, post-trial price, and renewal period will be displayed before purchase confirmation. Unless you cancel in accordance with Apple’s rules before the trial ends, the trial may automatically convert into a paid auto-renewable subscription.
The display of “Free Trial” in Otterkey does not guarantee that your Apple Account is eligible. Final eligibility is determined by Apple and the valid product configuration.
11.4 Restoring Purchases, Refunds, and Billing Issues
You may use “Restore” or a restoration mechanism provided by Apple to restore eligible active entitlements associated with the same Apple Account. Otterkey uses RevenueCat to reconcile the resulting entitlement status. Restoring purchases does not restore your local vault, iCloud data, or backup files.
App Store transactions are processed by Apple. Refund requests and issues concerning payment methods, taxes, billing, or unauthorized transactions should be handled through the purchase history, subscription management, or refund channels provided by Apple and are subject to Apple’s applicable terms and local consumer protection laws.
11.5 Changes to Benefits
The free version limits the number of accounts, subscription entries, and 2FA entries that you may create. Features such as iCloud synchronization, creating a new local backup, third-party imports, managed-list customization, and certain currency functions may require an active Otterkey Pro entitlement. The current version continues to permit data export and deletion, access to existing saved passwords and 2FA codes, and restoration of an existing local backup within the limits shown by the App. Specific limits and benefits are described in the App and in the product information displayed at the time of purchase.
We may adjust future plans, prices, or features, provided that we do not diminish your rights under applicable law or the core benefits of your current paid period. If a material change requires your consent, we will provide notice or obtain consent in accordance with applicable law and Apple’s rules.
12. Third-Party Services, Links, and Marks
Otterkey may use or access Apple services, RevenueCat and its configured backup API, Brandfetch, exchange-rate services, third-party websites, app-store pages, brand names, logos, or other external sources. Unless expressly stated otherwise:
- Third-party services and Otterkey are independent of each other;
- Displaying a service, logo, or recommended item does not mean that the third party sponsors, endorses, is affiliated with, or has a partnership with Otterkey;
- Relevant trademarks, service marks, and content belong to their respective rights holders; and
- The content, availability, security, pricing, and data-processing practices of third-party services are governed by their own terms and policies.
When you access a third-party service or use an exported file to interact with one, you are responsible for reviewing and complying with the applicable terms.
13. Prohibited Conduct
You may not use Otterkey to:
- Infringe, steal, or gain unauthorized access to another person’s account, device, system, or data;
- Store, distribute, or process passwords, 2FA secrets, or personal information that you are not authorized to possess;
- Commit fraud, cyberattacks, malicious automation, harassment, surveillance, or other unlawful activity;
- Distribute malicious code or interfere with the App, Apple services, or third-party infrastructure;
- Circumvent payment, transaction verification, usage restrictions, or security protections;
- Impersonate another person or make misleading statements about the relationship between Otterkey and a third party; or
- Use or transfer the App in violation of export controls, sanctions, or other applicable laws.
If we reasonably believe that use of the App violates these Terms, applicable law, or another person’s rights, we may, to the extent permitted by law, restrict the relevant features, terminate the license, or take other necessary measures.
14. Intellectual Property
Except for third-party content and open-source components, the Otterkey application, interface designs, code, original graphics, text, arrangement, trademarks, and other content are owned by us or our licensors and are protected by intellectual property laws.
Open-source components used by the App are governed by their respective licenses. Third-party brand names and logos are used only to help identify services managed by users, and all rights in them belong to their respective owners.
If you provide suggestions or feedback, you authorize us to use that feedback without charge to improve Otterkey, provided that we do not identify you personally or violate applicable law. You do not transfer any rights in your User Content by providing feedback.
15. Privacy
Our processing of personal information is governed by the Otterkey Privacy Policy. The Privacy Policy describes local encryption, iCloud, device permissions, third-party network requests, data retention, and deletion and forms an important part of these Terms.
If these Terms conflict with the Privacy Policy regarding the processing of personal information, the more specific provisions of the Privacy Policy will control, except where mandatory applicable law provides otherwise.
16. Updates, Changes, and Service Availability
We may update Otterkey to improve functionality, security, or compatibility or to comply with legal or Apple requirements. An update may change, add, or remove features. You may need to install the latest version of the App or operating system to continue using Otterkey securely.
We may suspend, restrict, or discontinue a feature or the entire App, but we will provide reasonable notice when required by applicable law. We do not guarantee that every feature will always be available or that the App will remain permanently compatible with every device, operating-system version, third-party file format, or external service.
If a material change affects purchased digital benefits, we will provide an appropriate remedy in accordance with applicable law and Apple’s rules.
17. Termination
You may stop using and uninstall Otterkey at any time. Uninstalling the App does not automatically cancel an App Store auto-renewable subscription and may not delete data stored in Keychain or iCloud. Use the in-app deletion feature and Apple’s subscription management feature separately.
If you materially or repeatedly breach these Terms, we may terminate the license granted under these Terms to the extent permitted by applicable law. After termination, you must stop using and delete the App.
Provisions that by their nature should survive termination—including provisions concerning intellectual property, limitations of liability, dispute resolution, and accrued payment obligations—will remain in effect.
18. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OTTERKEY IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, UNINTERRUPTED OR ERROR-FREE OPERATION, FREEDOM FROM DATA LOSS, COMPLETE SECURITY, AND NON-INFRINGEMENT.
We do not guarantee that:
- Otterkey will prevent every instance of unauthorized access, data loss, or device failure;
- iCloud, Keychain, backup, restoration, import, or export will succeed in every circumstance;
- Reminders, exchange rates, subscription dates, or statistics will always be accurate or timely;
- 2FA passcodes will always be accepted by third-party services;
- Third-party services, links, logos, icons, or content will remain available or accurate; or
- Any particular feature, plan, price, or offer will remain available permanently.
This section does not exclude or limit any warranty or right that cannot be excluded under applicable consumer protection law.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE OTTERKEY, INCLUDING LOSS OF DATA, LOSS OF ACCESS TO AN ACCOUNT, AN UNINTENDED SUBSCRIPTION RENEWAL, LOST PROFITS, BUSINESS INTERRUPTION, OR RECOVERY COSTS, EVEN IF WE HAVE BEEN ADVISED THAT SUCH DAMAGES MAY OCCUR.
To the maximum extent permitted by applicable law, our aggregate liability for all claims relating to Otterkey will be limited to the greater of:
- The amount you actually paid to us for Otterkey during the twelve months before the event giving rise to the claim; or
- USD 50 or the equivalent amount in local currency calculated using the exchange rate in effect when the dispute arose.
These limitations do not apply to liability arising from our willful misconduct, gross negligence, personal injury, or any other liability that cannot be limited under applicable law. Some countries or regions do not permit the exclusion of certain damages or limitations of liability, so some of the limitations above may not apply to you.
If you are located in the European Union, European Economic Area, United Kingdom, or another jurisdiction in which the consumer’s local law and courts apply on a mandatory basis, this section does not deprive you of mandatory rights under the law of your habitual residence or your right to bring proceedings before a local court.
20. Relationship with Apple
If you download Otterkey through the Apple App Store:
- The App is licensed, not sold, to you;
- Unless a valid custom end-user license agreement is separately provided through App Store Connect, the software license for the App is also subject to Apple’s Licensed Application End User License Agreement (Standard EULA);
- These Terms are entered into solely between you and us, and Apple is not the provider of Otterkey’s obligations under these Terms;
- We, not Apple, are responsible for maintaining and supporting the App, although Apple may handle App Store transactions, refunds, and download issues in accordance with its rules;
- Apple is not responsible for third-party services, User Content, or Otterkey’s records concerning third-party accounts and subscriptions; and
- Your use of the App must also comply with the applicable Apple Media Services Terms and Conditions and App Store usage rules.
If these Terms conflict with Apple’s mandatory terms concerning App Store downloads, payments, refunds, or software licenses, Apple’s applicable terms will control for the relevant matter. Your statutory consumer rights remain unaffected.
21. Changes to These Terms and Miscellaneous
We may update these Terms because of changes to features, paid plans, legal requirements, or the operator. Material changes will be communicated through an in-app notice, publication page, or other appropriate method in accordance with applicable law, and we will obtain your consent where required. The revised effective date will be shown at the top of these Terms.
If any part of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect, and the invalid provision will be interpreted, to the extent permitted by law, in the manner that most closely reflects its original purpose.
Our failure to exercise a right immediately does not waive that right. You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or transfer of business in accordance with applicable law and will notify you when legally required.
These Terms, the Otterkey Privacy Policy, the product terms displayed in the purchase confirmation interface, and applicable Apple terms constitute the entire agreement relating to your use of Otterkey.
